Terms of Service

1. Acceptance
By accessing or using any Syncaura products, services, websites, or offerings ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. Syncaura provides AI, automation, and technology solutions and services in any form, including without limitation: software platforms, content generation and distribution, consulting, custom software and agent development, and any other current or future products, services, or applications of technology we offer. Where we have a separate agreement with you for a specific engagement (e.g., a statement of work or professional services agreement), that agreement governs for that engagement and takes precedence over these Terms to the extent of any conflict. These Terms otherwise apply to all access to and use of Syncaura, including by users and organizations.
2. Eligibility and Account
You must be at least 16 years of age (or the age of majority in your jurisdiction, if higher) to use our Services. You must provide accurate and complete registration or contact information and keep it up to date. You are responsible for maintaining the security of your account and for all activity under your account. You must notify us immediately of any unauthorized access or use.
3. Content Ownership
You retain all ownership rights in your content, including prompts, assets, and any materials you provide to us or through our Services. Syncaura does not claim ownership of your content or the content of your end customers or third parties. We do not use your content or your customers' content to train AI models for other users.
4. AI-Generated Content and Your Responsibilities
Our Services may use artificial intelligence to generate or assist with content, recommendations, or other outputs. You are responsible for reviewing and approving any AI-generated or AI-assisted output before you use or publish it. AI output is provided "as is" without warranty of accuracy, originality, or fitness for a particular purpose. You must ensure that any content you publish or use (whether human-created or AI-assisted) complies with applicable laws and with the policies of any platforms or third parties involved. Where a platform or law requires disclosure of AI-generated content, you must comply.
5. Prohibited Use
You may not use our Services to create, publish, or distribute content that is illegal, defamatory, discriminatory, misleading, or that infringes intellectual property or other rights. You may not reverse engineer or attempt to extract our systems, models, or technology. You may not use our Services in a way that abuses fair-use limits, platform rate limits, or applicable terms of third parties. You may not misrepresent AI-generated content as solely human-created where the platform or law requires disclosure.
6. Third-Party Platforms
Our Services may integrate with third-party platforms (including without limitation social, publishing, or other APIs and services). Where they do, you must comply with each platform's terms of service and policies. Use of Syncaura does not override those requirements. Any suspension, limitation, or penalty imposed by a third party is your responsibility. We are not liable for actions taken by third-party platforms or providers.
7. Payment and Subscription
Paid offerings may be billed on a subscription basis (e.g., monthly or annually), by project, by statement of work, or as otherwise agreed. Subscriptions renew automatically unless you cancel before the renewal date; you may cancel through your account settings where applicable. Other engagements may be billed under separate agreements or invoices. Refunds for partial periods or unused time are not provided unless otherwise stated in your plan or agreement or required by law.
8. Service Level
Our Services are provided "as available." We do not guarantee uninterrupted availability unless we offer a separate SLA. We may modify or discontinue features or offerings with reasonable notice where practicable. We will use commercially reasonable efforts to maintain the security and reliability of our Services.
9. Termination
We may suspend or terminate your access to any or all Services for breach of these Terms, abuse, or non-payment. You may terminate your account or discontinue use at any time. Upon termination, you may export your data during any grace period we provide; after that, we may delete your data in accordance with our data retention practices.
10. General
These Terms constitute the entire agreement between you and Syncaura regarding the Services (except where a separate agreement expressly applies). If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. We may update these Terms with notice (e.g., by email or in-app); continued use after changes constitutes acceptance.
